1. Eligibility

By accessing the Site or purchasing any product, you represent and warrant that:

• You are a qualified researcher, licensed laboratory professional, academic institution, or an individual acquiring products solely for in-vitro experimental and analytical research purposes;
• You have the legal capacity to enter into a binding agreement; and
• Your use of the Site and our products will comply with all applicable federal, state, and local laws and regulations.

We reserve the right to refuse service, cancel orders, or terminate accounts at our sole discretion, including where we believe an order or use of the Site violates these Terms.

2. Research Use Only

You expressly acknowledge and agree that:

• No product offered on the Site is intended or approved for human or veterinary consumption, ingestion, injection, inhalation, topical application, or any other use in or on the body of any human or animal;
• Our products have not been evaluated or approved by the U.S. Food and Drug Administration (FDA) for any therapeutic or diagnostic purpose;
• You will not market, distribute, advertise, or resell our products for any non-research purpose;
• You assume full and sole responsibility for the safe handling, storage, use, and disposal of any product purchased from us; and
• You will comply with all applicable safety standards and good laboratory practices when handling our products.

3. Account Registration

You may purchase products from the Site as a guest or by creating a customer account. If you choose to create an account, you agree to:

• Provide accurate, current, and complete information during registration;
• Maintain and promptly update your account information as needed;
• Keep your password and login credentials confidential and secure;
• Accept full responsibility for all activity that occurs under your account; and
• Notify us immediately at info@solasscience.shop of any unauthorized use of your account.

We reserve the right to suspend or terminate any account that we believe, in our sole discretion, has violated these Terms or any applicable law.

4. Products, Pricing, and Availability

We make reasonable efforts to ensure that product descriptions, images, specifications, and prices displayed on the Site are accurate. However, we do not warrant that such information is error-free, complete, or current. All products are offered subject to availability, and we reserve the right at any time and without prior notice to:

• Modify or discontinue any product;
• Correct any pricing or descriptive errors, even after an order has been submitted;
• Limit quantities available for purchase; and
• Refuse or cancel any order placed at an incorrect price or based on inaccurate information.

Colors, packaging, and presentation may vary from images displayed. All prices are listed in U.S. dollars and exclude applicable taxes and shipping charges unless explicitly stated otherwise.

5. Orders and Order Acceptance

The submission of an order through the Site constitutes an offer by you to purchase the listed products subject to these Terms. Receipt of an order confirmation email does not constitute acceptance of your order. Acceptance occurs only upon our shipment of the products.

We reserve the right, in our sole discretion, to refuse, cancel, or limit any order for any reason, including but not limited to suspected fraud, ineligibility of the purchaser, product unavailability, errors in product or pricing information, or violation of these Terms. If we cancel an order after payment has been processed, we will refund the amount charged to your original method of payment.

6. Payment

You agree to pay all charges incurred through your account or order, including applicable taxes, shipping fees, and any other charges associated with your purchase. By providing payment information, you represent and warrant that:

• You are authorized to use the payment method provided;
• The information you provide is accurate and complete; and
• You authorize us, or our third-party payment processor, to charge the full amount of your order to the payment method you select.

If your payment cannot be processed for any reason, your order may be cancelled or held pending resolution.

7. Shipping

Solas Science ships only to addresses within the United States. International orders cannot be accepted at this time. Title to and risk of loss for products pass to you upon our delivery of the products to the carrier. Estimated shipping and delivery times are not guaranteed, and we are not responsible for delays caused by carriers, weather, or other circumstances beyond our reasonable control.

If a package is marked as delivered by the carrier but you have not received it, please contact the carrier directly and notify us within seven (7) days at info@solasscience.shop so that we may assist where possible.

8. Returns and Refunds

Due to the nature of our products and the regulatory requirements applicable to research materials, all sales are final. We do not accept returns or exchanges except in the following limited circumstances:

• The product arrives damaged or defective and you notify us in writing at info@solasscience.shop within seven (7) days of delivery, including photographic evidence; or
• You received an incorrect product due to our error.

Approved refunds will be issued to the original method of payment within a reasonable period after we have verified the issue. Shipping fees are non-refundable except where the return is the result of our error.

9. Affiliate and Referral Program

If you participate in our affiliate or referral program, you agree to the following:

• You will not engage in any false, misleading, or deceptive advertising or representations about Solas Science or our products;
• You will not make any medical, therapeutic, or health-related claims about our products under any circumstances;
• You will clearly disclose your affiliate relationship in compliance with Federal Trade Commission (FTC) endorsement guidelines and any applicable advertising laws;
• You will not bid on or use trademarks, brand names, or domain names belonging to Solas Science in paid advertising without our prior written consent;
• You will not engage in spam, unsolicited messaging, or any practice that may harm the reputation of Solas Science; and
• We reserve the right to suspend, terminate, or withhold commissions from any affiliate at our sole discretion if these conditions are not met.

Specific affiliate program terms, commission rates, and payout schedules will be provided separately upon enrollment and may be updated from time to time.

10. Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, product images, photographs, designs, icons, audio, video, software, and the overall look and feel, is the property of Solas Science LLC or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

You are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial purposes only. You may not reproduce, distribute, modify, publicly display, create derivative works of, or otherwise exploit any content on the Site without our prior written consent.

“Solas Science” and the Solas Science logo are trademarks of Solas Science LLC. All other trademarks referenced on the Site are the property of their respective owners.

11. User-Submitted Content

Any feedback, comments, reviews, suggestions, or other content you submit to us, whether through the Site, by email, on third-party review platforms, or otherwise, is non-confidential. By submitting such content, you grant Solas Science a perpetual, irrevocable, worldwide, royalty-free, non-exclusive license to use, reproduce, modify, publish, and display the content in any medium for any lawful business purpose, with or without attribution.

You represent and warrant that you have all necessary rights to submit such content and that the content does not violate the rights of any third party or any applicable law.

12. Prohibited Conduct

You agree that you will not, and will not attempt to:

• Use the Site or our products for any unlawful, harmful, fraudulent, or deceptive purpose;
• Resell, redistribute, or repackage our products without our prior written consent;
• Make any human-consumption, medical, therapeutic, or curative claims regarding our products;
• Interfere with, disrupt, or compromise the security or integrity of the Site;
• Use automated means, including bots or scrapers, to access the Site without our express written permission;
• Reverse-engineer, decompile, or attempt to extract source code from the Site;
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity; or
• Violate any applicable federal, state, or local law, regulation, or industry standard.

13. Disclaimers

THE SITE AND ALL PRODUCTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SOLAS SCIENCE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Solas Science does not warrant that the Site will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Site or its servers are free of viruses or other harmful components. Any reliance on information obtained through the Site is at your own risk.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOLAS SCIENCE LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR OUR PRODUCTS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR OUR PRODUCTS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SOLAS SCIENCE FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM IN THE NINETY (90) DAYS PRECEDING THE EVENT OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you to the extent prohibited by law.

15. Indemnification

You agree to defend, indemnify, and hold harmless Solas Science LLC and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

• Your access to or use of the Site;
• Your purchase, possession, handling, use, or disposal of any product purchased from us;
• Your violation of these Terms;
• Your violation of any applicable law or the rights of any third party; or
• Any content you submit to us or that is submitted through your account.

16. Governing Law

These Terms, and any dispute arising out of or related to these Terms, the Site, or any product purchased from Solas Science, shall be governed by and construed in accordance with the laws of the State of Texas, without giving effect to any conflict-of-laws principles. Venue for any dispute not subject to arbitration (see Section 17) shall lie exclusively in the state or federal courts located in Harris County, Texas, and you consent to the personal jurisdiction of such courts.

17. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any product purchased from Solas Science shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in Harris County, Texas, or at another mutually agreed location. The arbitrator’s decision shall be final and binding.

Class Action Waiver. You and Solas Science agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person’s claims or preside over any form of representative or class proceeding.

Notwithstanding the foregoing, either party may bring an individual action in small-claims court, and either party may seek injunctive or equitable relief in court for matters relating to intellectual property or unauthorized access to the Site.

18. Modifications to These Terms

We reserve the right to modify, update, or replace these Terms at any time at our sole discretion. The updated Terms will be posted on the Site with a revised “Effective Date.” Your continued use of the Site or purchase of products after such changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

19. Severability and Entire Agreement

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, the remaining provisions shall remain in full force and effect. These Terms, together with any other policies referenced herein, constitute the entire agreement between you and Solas Science LLC concerning the Site and any product purchased through it and supersede all prior agreements, communications, or understandings.
